Partner Program Terms

• Joining is free. You apply through the partner portal, and we review every application. We may decline an application.
• The information you give us must be accurate and kept up to date, including your payout and tax details.
• Partners outside Nepal must, for now, be registered businesses to receive payouts.

• You earn a share of the plan and seat charges that a customer attributed to you pays for their KudosCRM subscription, on every payment the customer makes in the 12 months starting with their first payment. For a customer who pays annually, that is their first annual payment.
• The share is the rate of your commission level (section 3): 20% to 30%.
• A solution partner with a signed agreement with us earns for the period that agreement states, up to 24 months.
• Commission is calculated on the amount the customer actually pays, excluding tax and usage-based charges.
• No commission is earned on money that is refunded.
• You can't earn commission on your own subscription, or on the subscription of any business you own or control.

• Partner: 20%. Every approved partner starts at this level.
• Silver: 25%, from 5 paying customers.
• Gold: 30%, from 15 paying customers.
• Solution partners with a signed agreement with us start at Gold.
• A paying customer is one KudosCRM workspace attributed to you, however many users it has, whose first payment is past the 60-day hold and hasn't been refunded.
• We move you up a level once you reach its number of paying customers. The new rate applies to payments made after the move, not to earlier ones.

• A customer is attributed to you when they sign up with your partner code or after clicking your referral link, or when we approve a client you registered in the partner portal.
• A click on your referral link sets a cookie that lasts 90 days. If the visitor clicks more than one partner's link in that window, the last partner click wins.
• A partner code entered at signup takes priority over any cookie.
• Attribution locks when the customer makes their first payment, and doesn't change after that.
• Where attribution is disputed, we decide based on our tracking records.

• Commission on each payment is held for 60 days after the payment, then becomes payable.
• If a payment is refunded, in full or in part, or charged back, the commission on it is reversed.
• If a reversed commission has already been paid to you, it is netted against your future payouts.

• Nepal tax residents are paid monthly, on the 10th, by NPR bank transfer. We deduct 15% TDS and deposit it as Nepal tax law requires.
• Partners outside Nepal are paid quarterly, in January, April, July and October, by SWIFT bank transfer. For now, we can only pay registered businesses outside Nepal.
• The minimum payout is रू 2,500 in Nepal and $100 outside Nepal. A payable balance below the minimum carries over to the next payout.
• You are responsible for your own taxes on what you earn, beyond what we withhold.

You must not:

• Refer yourself, or a business you own or control.
• Bid on Kudos, KudosCRM, or misspellings of them as keywords in paid ads.
• Use cookie stuffing, forced clicks, or any other way of setting a referral cookie without a genuine click.
• Send spam or unsolicited messages to promote KudosCRM.
• Create fake signups, or pay or reward people to sign up (incentivised signups).
• Make misleading claims about KudosCRM, its features or its prices.

If you do, we may withhold or reverse the commissions involved and end your participation in the program.

Wherever you recommend KudosCRM, you must clearly say that you earn a commission, in a way people will see before they click your link, and in line with the advertising rules where you operate.

• You may use the KudosCRM name and the brand assets we provide in the partner portal to promote KudosCRM.
• Don't alter our logos, present yourself as KudosCRM, or suggest we endorse you beyond being a partner.
• Don't register domains, social accounts or app names that contain our brand.

• For customers attributed to you, the partner portal shows only the workspace name, plan, seats, status and payments. You don't get access to their workspace or its data.
• Keep what you see confidential, and use it only to support those customers and manage your partnership.
• We handle your personal data as described in our Privacy Policy.

We may change these terms, including the commission rates and levels. A change applies only to customers referred after it takes effect, and we give at least 90 days' notice by email or in the partner portal before it does.

You or we may end your participation in the program at any time. Commissions you earned before it ends are paid on the normal schedule, except commissions connected with fraud, which are forfeited.

You take part in the program as an independent contractor. Nothing in these terms makes you our employee, agent, joint venturer or legal partner, and you can't make commitments on our behalf.
